Terms and Conditions

Welcome to OPTIS, a product of BSS Commerce. These Terms and Conditions (the "Terms") govern your access to and use of our Shopify apps, websites, product page customization service, and any related software, content, or features (collectively, the "Services"). By installing or using any OPTIS app, visiting our website, or engaging our customization team, you agree to be bound by these Terms. If you do not agree, please do not use our Services.

1. Use of the Services

OPTIS provides features that enhance your Shopify store, including but not limited to product options, variant management, color swatches, image swatches, and related store-customization functionality. You agree to use the Services only for lawful business purposes and in compliance with all applicable laws, the Shopify Partner Program Agreement, the Shopify Acceptable Use Policy, and any other Shopify policies in effect from time to time. You are responsible for any content, configurations, or customizations you create through the Services.

2. Eligibility & Account

To use our Services you must have an active Shopify store and accept these Terms. By installing the app, you confirm that:

  • You are at least 18 years old, or the age of majority in your jurisdiction.
  • You have the authority to bind your business to these Terms.
  • All information you provide to us is accurate, current, and complete.
  • You will keep your Shopify admin credentials secure and not share them with unauthorized parties.

You are responsible for all activity that occurs under your account. Please notify us immediately at [email protected] if you suspect unauthorized access.

3. Account & Store Access

By installing the app, you grant OPTIS permission to access certain store data necessary for app operation, such as product details, variants, theme configurations, customer-facing pages, and order information. The exact scopes are listed on the Shopify App Store install screen and may be reviewed in your Shopify admin at any time. You may revoke our access by uninstalling the app, which will also disable any features that depend on store data.

4. Fees and Payments

Some OPTIS plans include a subscription fee, which is charged through Shopify's billing system on a recurring basis. All fees are exclusive of applicable taxes unless stated otherwise.

  • Free plans - available for stores meeting the limits described on our pricing page. No payment information is required.
  • Paid plans - billed monthly through Shopify, with a free trial period where applicable. Your plan renews automatically until cancelled.
  • Cancellation - you may cancel at any time by uninstalling the app. Pro-rated refunds are governed by Shopify's billing policies.
  • Price changes - we may adjust pricing with at least 30 days' notice via in-app notifications or email. Continued use after the change means you accept the new pricing.

We do not store or process credit card information directly. All payments are handled by Shopify.

5. Intellectual Property

All software, content, trademarks, logos, brand elements, and code within the OPTIS app and on our websites are owned by BSS Commerce or its licensors and are protected by international copyright, trademark, and other intellectual-property laws. You may not copy, modify, distribute, sell, reverse-engineer, or create derivative works of our software without our prior written consent. You retain ownership of the content you create using the Services (such as your product images, copy, and configurations); you grant us a limited licence to host, process, and display that content solely to operate the Services.

6. Acceptable Use

When using our Services, you agree NOT to:

  • Violate any applicable law, regulation, or third-party right.
  • Use the Services to infringe intellectual-property rights of others.
  • Attempt to gain unauthorized access to our systems, other users' data, or any Shopify-protected resource.
  • Interfere with or disrupt the integrity or performance of the Services.
  • Reverse-engineer, decompile, or otherwise attempt to extract source code from our software.
  • Resell, sublicense, or otherwise commercialise the Services without our written permission.
  • Use the Services to send unsolicited messages, spam, or other prohibited content.

We reserve the right to suspend or terminate access to any account that breaches these rules, with or without prior notice.

7. Customization Service

OPTIS also offers a paid Product Page Customization Service delivered by our in-house team. When you engage us for customization work:

  • Scope, timelines, and pricing will be confirmed in a written quotation before work begins.
  • Project ownership of delivered work transfers to you upon receipt of full payment.
  • We retain the right to use anonymised before-and-after screenshots in our portfolio unless you opt out in writing.
  • Theme code we modify remains subject to your theme's original licence (e.g. Shopify theme licences).

8. Third-Party Integrations

Our Services may integrate with third-party platforms, including Shopify, payment processors, analytics tools, and customer-support solutions. We are not responsible for the availability, accuracy, content, or practices of these third parties. Your use of any third-party service is governed by that party's own terms and privacy policy. We do our best to maintain stable integrations but cannot guarantee uninterrupted availability of third-party functionality.

9. Service Availability & Support

We aim for high availability of our Services but do not guarantee specific uptime, response times, or feature roadmaps. Planned maintenance will be announced in advance whenever possible. Support is provided via:

  • Email at [email protected].
  • In-app live chat during business hours (GMT+7, Monday-Friday).
  • Shopify App Store review responses.

We typically respond to support inquiries within one business day, often sooner.

10. Limitation of Liability

To the maximum extent permitted by law, the Services are provided on an "as-is" and "as available" basis, without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy. BSS Commerce, its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages - including loss of profits, revenue, data, or goodwill - arising from or related to your use of the Services, even if we have been advised of the possibility of such damages. Our total cumulative liability for any claim related to the Services shall not exceed the amount you paid us in the twelve months preceding the claim.

11. Indemnification

You agree to defend, indemnify, and hold harmless BSS Commerce, its affiliates, and their respective officers and employees from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Services, (b) your violation of these Terms, (c) your violation of any third-party right (including intellectual-property or privacy rights), or (d) any content you submit or configure through the Services.

12. Termination

You may stop using the Services at any time by uninstalling the app from your Shopify store, which will end any associated subscription on the next billing cycle. We may suspend or terminate your access to the Services if you violate these Terms, fail to pay applicable fees, or pose a risk to our systems or other users. On termination, your right to use the Services ends immediately, but provisions that by their nature should survive (such as Sections on Intellectual Property, Limitation of Liability, and Indemnification) will continue to apply.

13. Changes to These Terms

We may update these Terms occasionally to reflect changes in our practices, technology, legal requirements, or other operational reasons. The updated version will be posted on this page with a new "Last updated" date. Material changes will be announced via in-app notification or email at least 30 days in advance. Continued use of the Services after the effective date constitutes acceptance of the revised Terms.

14. Governing Law & Disputes

These Terms are governed by the laws of the Socialist Republic of Vietnam, without regard to its conflict-of-law principles. Any dispute arising from or related to the Services or these Terms shall first be addressed through good-faith negotiation. If unresolved, the dispute shall be submitted to the competent courts of Hanoi, Vietnam, unless mandatory consumer-protection law of your residence requires otherwise.

15. Severability & Entire Agreement

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force. These Terms, together with our Privacy Policy and any plan-specific or service-specific terms, constitute the entire agreement between you and BSS Commerce regarding the Services and supersede any prior agreements on the same subject.
